About the exchange

Capital without compromising cooperative identity

One of the major challenges facing productive cooperatives is accessing suitable growth capital without compromising their cooperative identity or governance.

Traditional financing models may not always accommodate the ownership structures, asset profiles, cash flows or production cycles of cooperative enterprises.

Through CDEx, Co-ops Africa aims to connect cooperative enterprises with appropriate capital providers while supporting the documentation, assessment and structuring processes required for responsible capital raising.

What CDEx aims to achieve

  • Enable eligible cooperatives to explore structured debt financing.
  • Connect cooperative enterprises with suitable local and international capital providers.
  • Support the financing of productive assets, equipment, working capital and enterprise expansion.
  • Encourage better financial records, governance and investment documentation.
  • Develop pathways through which cooperative productive capacity can become more visible to potential investors.
  • Support commodity-linked financing structures where appropriate and legally permissible.

How the CDEx process works

  • 1. Cooperative registration and assessment — the cooperative submits its registration details, governance documents, financial information and proposed financing requirements for initial assessment.
  • 2. Financing structure development — subject to eligibility, the cooperative's financing needs, repayment capacity, proposed term and relevant security arrangements are assessed.
  • 3. Due diligence and approvals — the proposed transaction undergoes applicable legal, financial, governance, risk and regulatory reviews. Required approvals and disclosures must be obtained before proceeding.
  • 4. Investor engagement — eligible capital providers may review the approved transaction documentation and consider participating under its stated terms.
  • 5. Capital deployment and monitoring — following successful completion of the required process, funds are deployed in accordance with the financing agreement, with appropriate reporting and monitoring arrangements.

Who CDEx is for

CDEx is intended to serve eligible cooperative societies with credible financing needs and the organisational capacity to undertake structured funding transactions.

Potential sectors include agriculture, mining, manufacturing, property, processing, logistics and other productive activities, subject to the applicable eligibility criteria.

A different approach to cooperative capital

Cooperative debentures can offer a financing alternative to ordinary equity fundraising. A debenture is generally a debt instrument under which an issuer undertakes obligations defined by the instrument's terms.

The proposed CDEx model seeks to connect such instruments with the underlying economic activity of cooperative enterprises.

Any commodity linkage, collateral arrangement, insurance protection, repayment obligation or investor transfer right must be expressly documented and verified for each relevant instrument. These features should not be presented as universal guarantees.

CDEx's existing operations are private-placement, over-the-counter debenture issues, and CDEx is not yet licensed as an exchange. Current operations must be distinguished from future plans, and nothing on this website should be read as implying that exchange licensing, insurance or investor protections exist unless expressly verified.
